These Terms explain the rules for using LionSparks websites, products, and services. Please read them carefully before using the website, creating an account, purchasing services, or submitting information to us.

1. Acceptance of These Terms

These Terms of Use are a legal agreement between you and LionSparks LLC ("LionSparks," "we," "us," or "our"). By accessing our website, contacting us, purchasing services, joining a waitlist, creating an account, or using a LionSparks product, you agree to these Terms.

If you are using the services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

2. Our Services

LionSparks provides consulting, AI enablement, digital strategy, websites, workflow support, training, career-related tools, and related software or online services. Some services may be delivered through separate statements of work, order forms, subscriptions, beta programs, or written agreements. If a separate written agreement conflicts with these Terms, the separate agreement controls for that specific engagement.

We may modify, suspend, or discontinue parts of the website or services as our offerings evolve.

3. Accounts and Accurate Information

You may need an account to use certain products. You agree to provide accurate information, keep credentials secure, and notify us promptly if you suspect unauthorized access.

You are responsible for activity that occurs through your account unless the activity results from our failure to use reasonable security measures.

4. Acceptable Use

You agree not to misuse the website or services. This includes attempting unauthorized access, interfering with system performance, uploading malicious code, scraping or harvesting data without permission, violating law, infringing intellectual property rights, or using the services to harass, discriminate, deceive, or harm others.

You may not use the services to submit unlawful, sensitive, or regulated data unless we have expressly agreed in writing that the service is designed to handle that data.

5. Customer Content and Data

You retain ownership of content, files, prompts, messages, business information, and other materials you provide to LionSparks or enter into a LionSparks product ("Customer Content").

You grant LionSparks a limited right to use Customer Content only as needed to provide, secure, support, and improve the requested services, comply with law, and enforce these Terms.

We do not use individual user data or private Customer Content to sell personal profiles or train public AI models unless you expressly agree to that use in writing for a specific project.

We may use aggregated, de-identified, or statistical data to understand trends, improve the website, improve product performance, develop features, and operate the business, provided that the information is not intended to identify you or any individual user.

6. Data Deletion Requests

You may request deletion of personal information or Customer Content associated with your account, project, or submission. To make a request, contact us through the website contact form and include enough information for us to identify the relevant records.

We will take reasonable steps to delete or de-identify information we are not required to keep. We may retain limited information where needed for legal compliance, accounting, security, dispute resolution, backups, fraud prevention, or legitimate business records.

Where we provide account settings or self-service deletion tools, you may use those tools to submit or complete deletion requests directly.

7. Fees, Payments, and Subscriptions

Fees, billing cycles, payment terms, cancellation terms, and refund eligibility will be described at checkout, in an order form, or in a separate written agreement. You agree to pay all amounts you authorize.

Unless a separate agreement says otherwise, subscriptions renew until canceled, and fees already paid are non-refundable except where required by law or expressly stated in writing.

8. Intellectual Property

LionSparks owns the website, product interfaces, software, templates, designs, documentation, workflows, branding, and other materials we create, except for Customer Content and third-party materials.

Subject to your compliance with these Terms and any applicable payment obligations, we grant you a limited, non-exclusive, non-transferable right to use the services for your internal personal or business purposes.

If you provide feedback or suggestions, you allow us to use them without restriction or compensation, but we will not identify you publicly as the source without permission.

9. AI, Coaching, and Professional Guidance

Some LionSparks services may include AI-assisted output, career guidance, business strategy, or technical recommendations. These materials are provided for informational and operational support and are not legal, financial, tax, medical, or other regulated professional advice.

AI-assisted outputs can be incomplete or inaccurate. You are responsible for reviewing outputs, decisions, and materials before relying on them or sharing them externally.

10. Third-Party Services

The website or services may link to or integrate with third-party platforms, tools, payment processors, analytics providers, AI providers, hosting services, or customer systems. Third-party services are governed by their own terms and policies.

LionSparks is not responsible for third-party services we do not control.

11. Confidentiality

If we exchange non-public business, technical, or project information, each party agrees to use reasonable care to protect it and to use it only for the purpose of the relationship, unless a separate confidentiality agreement applies.

12. Termination

You may stop using the website or services at any time. You may cancel subscriptions or request account deletion as described in the applicable product, order form, or privacy process.

We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay required fees, or use the services in a way that could harm LionSparks, other users, or third parties.

13. Disclaimers

The website and services are provided on an "as is" and "as available" basis. To the fullest extent allowed by law, LionSparks disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

We do not promise that the services will meet every requirement, produce a particular business outcome, or be available without interruption.

14. Limitation of Liability

To the fullest extent allowed by law, LionSparks will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.

To the fullest extent allowed by law, LionSparks' total liability for claims related to the website or services will not exceed the amount you paid to LionSparks for the service giving rise to the claim in the three months before the event, or one hundred dollars if no payment was made.

15. Changes to These Terms

We may update these Terms as our services evolve. When we do, we will update the date below. Continued use of the website or services after updated Terms are posted means you accept the updated Terms.
